SolarWinds' credit rating has been placed on review by S&P Global due to an upcoming acquisition.

SolarWinds Holdings Inc., a provider of IT management solutions, has been placed on negative CreditWatch by S&P Global Ratings. This action follows the company's announcement of its intention to be acquired by financial sponsor Turn/River Capital for approximately $4.4 billion, with the transaction expected to close in the second quarter of 2025.

On March 3, 2025, S&P Global Ratings assigned a 'B' credit rating to Starlight Parent, operating as SolarWinds, with a stable outlook. However, the recent CreditWatch placement relates to SolarWinds' 'B+' credit rating. The decision to become a private company under Turn/River Capital is the primary reason for the CreditWatch status. S&P Global Ratings anticipates that all debts of SolarWinds Holdings will be repaid, and thus did not place the issuance-level ratings on CreditWatch.
